Terms of sale

These terms of sale exist in French and in English. The French version is the reference version: if the two versions differ, the French version prevails.
1. Seller
The TrueNest online store available at gettruenest.com (the "Store") and the TrueNest Pro software are operated by LECALINA, a French société par actions simplifiée (SAS) with a share capital of 1,000 euros, registered office at 33 impasse des Lilas, 83560 Saint-Julien, France, registered with the Draguignan Trade and Companies Register (RCS Draguignan) under number 894 129 592, SIRET 894 129 592 00032, intra-EU VAT number FR64 894 129 592, trading as TrueNest ("we", "us" or the "Seller").

2. Scope: professional customers only
2.1 These terms apply to every order placed on the Store, including free trials. They apply to the exclusion of the customer's own general terms of purchase, unless we have agreed otherwise in writing.
2.2 The Store is reserved for professionals: companies, sole traders and self-employed persons buying TrueNest Pro for the needs of their business (for example print shops, sign makers or vehicle wrap installers). It is not intended for consumers.
2.3 By placing an order, the customer (the "Customer") confirms that it acts for purposes relating to its business and that the person placing the order is authorised to do so on its behalf. The Customer gives its company name at checkout. We may ask for proof of professional status, and we may cancel and refund any order placed without a company name or that appears to be placed by a consumer.
2.4 Placing an order implies prior reading and acceptance of these terms. The terms that apply to an order are those online on the date of the order, subject to article 19 for subscriptions in progress.
3. TrueNest Pro and plans
3.1 TrueNest Pro is an extension (plugin) for Adobe Illustrator on Mac and Windows that arranges the parts of a design on a sheet according to their real shape, to save material. Its main features and system requirements are described on the product page and in the installation guide.
3.2 Subscription plans: each subscription covers its own computers. Solo covers 1 computer and Studio covers 2 computers. Subscriptions add up: a second Solo subscription adds a second computer, and a Solo subscription plus a Studio subscription cover 3 computers. A plan ordered in a quantity above 1 covers its computers that many times: Solo in a quantity of 2 covers 2 computers, and Studio in a quantity of 2 covers 4 computers. Studio is the lower-priced way to cover 2 computers. Subscriptions add up on the same licence key when they are taken with the same e-mail address, whether they were taken on the Store or on another LECALINA store that sells TrueNest Pro. Each subscription covers its computers only for its own licence period (article 9.2): when a subscription ends, the computers it covered are no longer included.
3.3 Lifetime licence. TrueNest Pro is also sold as a lifetime licence (TrueNest Pro Lifetime), paid once. It is not a subscription: there is no monthly payment, nothing to renew and nothing to cancel, and its licence period is unlimited. A lifetime licence covers 1, 2 or 3 computers according to the option chosen, multiplied by the quantity ordered (the 1-computer option in a quantity of 2 covers 2 computers), under the same rules as a subscription for activation, for moving a licence to another computer and for the limit on the number of computers (article 8.2). With the same e-mail address, lifetime licences and subscriptions add up on the same licence key. A lifetime licence includes every update of the major version of TrueNest Pro current on the date of the order (today version 3, that is all 3.x versions). If we release a new major version, it may be sold separately; holders of a lifetime licence are then offered it at a reduced price. TrueNest Pro runs on the extension technology of Adobe Illustrator (CEP): we cannot guarantee that it will work with versions of Adobe Illustrator released after the current major version stops being updated, and a rewrite of the software made necessary by Adobe would be a new major version. The refund rules of article 12 and of our refund policy apply to the lifetime licence.
3.4 A free trial of 7 days is also offered under the conditions of article 10.
3.5 TrueNest Pro requires a compatible version of Adobe Illustrator, which is not included and must be obtained separately from Adobe, and an internet connection for activation and for the periodic licence checks described in article 8. The Customer is responsible for checking, before ordering, that its equipment meets these requirements; the free trial is offered for this purpose.
4. Prices
4.1 Prices are in euros. The applicable price is the one shown on the product page and at checkout when the order is placed.
4.2 Prices shown on the Store include VAT where applicable. The VAT or other tax actually applied to the order, which may depend in particular on the Customer's country and VAT status, is the one shown at checkout before payment and on the order confirmation.
4.3 For a subscription, we may change the monthly price. Any change is notified by e-mail at least 30 days before it applies, and only applies to billing periods starting after that notice. A Customer who does not accept the new price may cancel before it applies (article 9).
5. Orders
5.1 To order, the Customer chooses a plan, goes to checkout, fills in its company name, e-mail address and billing details, checks its order, accepts these terms and pays. The contract is concluded when payment is accepted or, for the free trial, when the order is confirmed. An order confirmation is sent by e-mail.
5.2 The licence key is sent to the e-mail address given with the order. The Customer is responsible for giving a correct address that it reads.
5.3 The free trial must be ordered on its own, in an order separate from any paid plan.
5.4 We may refuse or cancel an order for a legitimate reason, in particular an unpaid amount or a dispute on a previous order, suspected fraud, an order that does not come from a professional, or an order that would breach article 5.5. Any amount paid for a cancelled order is refunded.
5.5 TrueNest Pro is not sold to persons located or established in Russia, Belarus, Cuba, Iran, North Korea or Syria, or acting on behalf of persons established there, nor to persons subject to European Union, United Nations or French sanctions. The Customer confirms that it is not in this situation and undertakes not to make the software available in breach of these rules.
6. Payment
6.1 Payment is made online at the time of the order, with the payment methods offered at checkout. Payments are processed by Shopify Payments and its payment partners; we never receive the Customer's full card number.
6.2 For a subscription, the Customer authorises the automatic charge of the monthly price, in advance, at the start of each billing period, to the payment method registered at checkout, until the subscription is cancelled. The Customer keeps its payment details valid and up to date from its customer account.
6.3 If a renewal payment fails, it may be attempted again. If it still cannot be collected, the subscription may be cancelled and the licence stops at the end of the last paid period (article 9.2).
6.4 In accordance with articles L441-10 and D441-5 of the French Commercial Code, any amount not paid on its due date bears, automatically and without prior notice, late-payment penalties at three times the French statutory interest rate, plus a fixed indemnity of 40 euros for recovery costs.
6.5 If the Customer disputes a payment with its bank without contacting us first, we may suspend the licence concerned until the dispute is resolved.
6.6 An invoice is issued for each paid order. The Customer can obtain it by writing to support@gettruenest.com with its order number and, if it has one, its intra-EU VAT number.
7. Delivery
7.1 TrueNest Pro is delivered digitally only. No physical product is shipped.
7.2 After payment, or after the free trial order, the Customer receives by e-mail a licence key (in the form TN-XXXX-XXXX-XXXX), usually within a few minutes. The installation files for Mac and Windows are made available for download after the order and, on request, we send them to the Customer. Delivery is complete when the licence key has been sent.
7.3 If the Customer has not received its key within 24 hours, it checks its spam folder and then writes to support@gettruenest.com, and we send the key again.
8. Licence to use the software
8.1 Grant. For the duration of the paid period or of the free trial, or without time limit for a lifetime licence, we grant the Customer a non-exclusive, non-transferable right, without the right to sublicense, to install and use TrueNest Pro for its own internal business needs, on the number of computers covered by its subscriptions and lifetime licences (articles 3.2 and 3.3). The software is licensed, not sold.
8.2 Computers and activation. The software is activated on a computer by entering the licence key. Each computer activated with a key uses one of the places covered by the Customer's subscriptions and lifetime licences on that key: 1 per Solo subscription, 2 per Studio subscription and 1, 2 or 3 per lifetime licence according to the option chosen, multiplied by the quantity ordered. When all places are used, the key cannot be activated on another computer. When the number of places goes down, in particular when a subscription ends, the computers activated last beyond that number can no longer be used until a place is freed or added. To move a licence to a new computer, the Customer asks support@gettruenest.com to free the place of the old computer.
8.3 Licence keys. A licence key is reserved for the Customer. It must not be shared, published, sold or given to a third party. The Customer is responsible for the use of its keys by its staff.
8.4 Restrictions. Except where the law expressly allows it, in particular article L122-6-1 of the French Intellectual Property Code, the Customer must not copy, rent, lend, resell or distribute the software; decompile, disassemble or reverse engineer it; modify it or create derivative works from it; or disable, bypass or tamper with the licence, activation or computer-limit mechanisms.
8.5 Ownership. TrueNest Pro, including its code, interface and documentation, and the TrueNest name and logo remain the property of LECALINA or its licensors. Some components are open-source software supplied under their own licences, listed in the notices provided with the software; nothing in these terms restricts the rights granted by those licences.
8.6 Customer files. The Customer's artwork is processed on its own computer and is not sent to us. The Customer remains the owner of its files and is responsible for keeping backup copies.
8.7 Updates. During a paid period or a trial, and under a lifetime licence within the limits of article 3.3, the Customer may download updates (corrections and improvements) at no extra cost. Installing them is the Customer's responsibility. We support the latest version of the software. We make reasonable efforts to keep TrueNest Pro compatible with current versions of Adobe Illustrator, macOS and Windows, but we cannot guarantee compatibility with every past or future version, which depends on third parties.
8.8 Licence server. Activation, and then a check at regular intervals (usually every few days) while the software is used, require an internet connection to our licence server. The software tolerates a temporary loss of connection for a limited time. We make reasonable efforts to keep the licence server available but cannot guarantee uninterrupted availability, in particular during maintenance or outages of our technical providers. If, because of us, the licence server is unavailable for more than 2 days in a row during a paid period, we extend the licence by the same length of time on request.
8.9 Suspension and deactivation. We may suspend or deactivate a licence key in case of non-payment, payment dispute, fraud, sharing of the key or other serious breach of these terms. Except in case of fraud or urgency, we first notify the Customer by e-mail and give it 8 days to remedy the breach. When a licence expires or is deactivated, the software stops working after any remaining offline tolerance, and the Customer must stop using it.
9. Subscription: duration, renewal and cancellation
9.1 Duration and renewal. The Solo and Studio plans are sold as a monthly subscription, billed in advance. The subscription renews automatically every month from the date of the first payment, until it is cancelled.
9.2 Licence period. Each payment, first or renewal, activates or extends the licence until 34 days after that payment: 31 days, plus 3 days of tolerance to absorb any delay in processing the next renewal. A renewal paid within that time extends the licence without any action from the Customer.
9.3 Cancellation by the Customer. The Customer may cancel at any time, free of charge:
- from its customer account on the Store: open Subscriptions, select the subscription, then click Cancel subscription; or
- by writing to support@gettruenest.com from the e-mail address used for the order, stating the order number. We then cancel the subscription and confirm it by e-mail.
9.4 Effect of cancellation. Cancellation stops all future payments of the cancelled subscription immediately. That subscription stays active until the end of the period already paid, that is 34 days after its last payment (article 9.2), and then stops. The licence then stops if the Customer has no other subscription or lifetime licence; otherwise it continues with the computers covered by them (articles 3.2 and 3.3). The period already started is not refunded, in whole or in part. A cancelled subscription cannot be reactivated, but the Customer may subscribe again at any time; with the same e-mail address, its licence key stays the same.
9.5 Termination by us. We may terminate a subscription in the cases of article 8.9. We may also stop offering TrueNest Pro by giving at least 30 days' notice by e-mail; in that case future payments stop and the unused part of the period already paid is refunded.
10. Free trial
10.1 The free trial gives access to the full version of TrueNest Pro for 7 days, on 1 computer, from the trial order.
10.2 No payment details are requested and no payment is taken automatically at the end of the trial. The trial stops by itself after 7 days, subject to the offline tolerance described in article 8.8: there is nothing to cancel.
10.3 The trial is granted once per e-mail address, and only to an e-mail address that has never held a TrueNest licence. We may refuse a trial requested repeatedly by the same company under different addresses.
10.4 If the Customer then takes a subscription or a lifetime licence with the same e-mail address, its trial key becomes its full licence key.
10.5 The trial is provided free of charge, for evaluation purposes.
11. No right of withdrawal
As the Store is reserved for professionals buying for their business, the right of withdrawal that the French Consumer Code gives to consumers does not apply to orders placed on the Store. The free trial allows the Customer to test the software before paying.
12. Refunds
12.1 Amounts paid for a period that has started are not refundable, including if the Customer cancels during that period or does not use the software. The price of a lifetime licence is likewise not refundable once its licence key has been sent, including if the Customer does not use the software.
12.2 By way of exception, we refund: an amount charged twice or charged by mistake; a payment for which we could not provide a working licence key within 7 days of the Customer's report; the current month, or for a lifetime licence the price paid for it, when a defect of the software prevents its use on a compatible configuration and we have neither fixed it nor provided a workaround within 30 days of the Customer's report, provided the Customer cancels its subscription or, for a lifetime licence, that the licence is deactivated; and the unused part of the paid period in the case of article 9.5.
12.3 Refunds are made to the original payment method. Details are given in our refund policy.
13. Support
Support is provided in French and English, by e-mail at support@gettruenest.com and by WhatsApp message at +33 6 70 81 62 89 (no calls). We aim to reply within 2 business days.
14. Warranty
14.1 We undertake that TrueNest Pro works substantially as described on the product page and in the installation guide when it is used on a compatible configuration. If the Customer reports a reproducible defect, we make reasonable efforts to fix it through an update or to provide a workaround within a reasonable time; if we cannot, article 12.2 applies.
14.2 Nesting results are proposals intended to save material. The Customer remains responsible for checking each sheet before printing or cutting, in particular the spacing, orientation, dimensions and presence of all parts.
14.3 Apart from the undertakings in this article and in article 8.8, and subject to mandatory legal provisions, we give no other warranty. In particular, we do not warrant that the software is free of errors, that it suits every file or every particular need of the Customer, or that the nesting obtained is the best possible.
15. Liability
15.1 We are bound by an obligation of means (best efforts) for the provision of the software, the licence server and support.
15.2 We are not liable for indirect damage, in particular loss of profit, revenue, customers or data, business interruption, production losses or wasted material (vinyl, media, ink), nor for damage resulting from a sheet printed or cut without the check required by article 14.2, from an incompatible configuration, or from a failure of Adobe Illustrator, of the operating system or of the Customer's internet connection.
15.3 Our total liability, for all causes combined, is limited to the amounts paid by the Customer for TrueNest Pro during the 12 months preceding the event giving rise to the claim.
15.4 These limitations do not apply in case of gross negligence (faute lourde) or wilful misconduct (faute dolosive), in case of bodily injury, or where the law prohibits them.
15.5 Any claim against us must be brought within one year of the day on which the Customer knew or should have known the facts on which it is based.
16. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code, including failures of hosting, payment or telecommunications providers or of the internet that are beyond our reasonable control. The obligations concerned are suspended for as long as the event lasts.
17. Intellectual property and trademarks
The content of the Store and the TrueNest name and logo are protected. Adobe and Illustrator are trademarks of Adobe Inc.; Mac and macOS are trademarks of Apple Inc.; Windows is a trademark of Microsoft Corporation. TrueNest is not affiliated with, endorsed or sponsored by these companies.
18. Personal data
We process personal data in accordance with our privacy policy. To deliver and check licences, the licence server stores in particular the e-mail address of the order, the licence key, the validity dates and an identifier for each activated computer. The Customer informs the members of its staff who use TrueNest Pro of this processing and of our privacy policy.
19. Changes to these terms
We may update these terms. The version in force on the date of an order applies to that order. For subscriptions in progress, any change is notified by e-mail at least 30 days before it applies; if the Customer does not accept it, it may cancel before that date. A Customer who keeps its subscription after that date accepts the new terms.
20. Miscellaneous
If a clause of these terms is held invalid, the other clauses remain in force. Not enforcing a clause at a given time does not waive the right to enforce it later.
21. Language, governing law and disputes
21.1 These terms are drafted in French and in English. If the two versions differ, the French version prevails. The French version can be read by choosing French in the Store's language selector, or obtained on request from support@gettruenest.com.
21.2 These terms and the sales concluded on the Store are governed by French law, excluding the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 11 April 1980).
21.3 In case of dispute, the Customer first contacts us in writing at support@gettruenest.com so that we can look for an amicable solution within 30 days.
21.4 Failing an amicable solution, any dispute relating to the conclusion, interpretation, performance or termination of these terms or of a sale concluded on the Store falls within the exclusive jurisdiction of the Tribunal de commerce de Draguignan (France), including for urgent or interim proceedings and in case of multiple defendants or third-party claims.
